These Terms of Use govern your access to and use of all digital products created and distributed by Defined Tech Limited, regardless of the platform through which you obtained them. By downloading, installing, opening, or using any product, you agree to these terms in full.

1. Who We Are

Defined Tech Limited is a technology company based in Trinidad and Tobago. We develop and distribute digital products including spreadsheet templates, Chrome browser extensions, Windows desktop applications, and downloadable documents. All products are sold under the Defined Tech Limited brand at definedtechltd.net and through authorised third-party platforms including Fygaro, Gumroad, and the Chrome Web Store.

2. What These Terms Cover

These Terms apply to every product in the Defined Tech Limited catalogue, including:

Spreadsheet templates (Excel and Google Sheets)
Chrome browser extensions (free and premium tiers)
Windows desktop applications (.exe installers)
Downloadable documents, guides, contracts, and template packs
Any future products published under the Defined Tech Limited brand

Individual products may ship with supplementary End User Licence Agreements (EULAs) that extend or clarify these Terms for that product. Where a product EULA and these Terms conflict, the product EULA takes precedence for that product only.

3. Licence Grant

Subject to your compliance with these Terms and, where applicable, payment of the purchase price, Defined Tech Limited grants you a personal, non-exclusive, non-transferable, revocable licence to:

Install and use the product on devices you personally own or control.
Use the product for your own personal or single-business purposes.
Make reasonable backup copies for personal use.

Free products (including free-tier Chrome extensions) are licensed under the same terms. Free access does not grant additional rights beyond those listed above.

4. What You May Not Do

Unless you have obtained a specific commercial licence from Defined Tech Limited in writing, you may not:

Sell, resell, sublicence, rent, lend, or transfer any product or your rights to it to any third party.
Distribute any product, whether modified or unmodified, for free or for payment.
Include any product or any portion of it in your own product, bundle, or service offered to others.
Remove, obscure, or alter any copyright notices, branding, or attribution present in any product.
Represent any product as your own original work.
Use a single licence across more than one business entity. Each business requires its own purchase.
Reverse-engineer, decompile, or extract source code, formulas, or logic from any product to build a competing product.
Use any product in a way that violates applicable law or the rights of any third party.

7. Spreadsheet Templates — Additional Terms

Formula cells may be protected with a password. You may unprotect sheets for personal customisation but not to extract or redistribute the formula logic.
Templates do not constitute accounting, legal, or financial advice. Verify all outputs before making business decisions.
Calculations are only as accurate as the data you enter. Defined Tech Limited accepts no liability for errors arising from incorrect data entry.

8. Intellectual Property

All products — including their designs, code, formulas, documentation, branding, and interfaces — are the intellectual property of Defined Tech Limited, protected under the Copyright Act of Trinidad and Tobago (Chapter 82:80) and applicable international law.

Your purchase grants a licence to use the product, not ownership of it. All rights not expressly granted are reserved.

9. Acceptable Use

You agree not to use any product for any unlawful purpose, to store or transmit offensive material, to damage or impair the product, or to attempt to gain unauthorised access to any system or data.

10. Refunds

All sales of digital products are final once the product has been delivered. Refunds are available only if: (a) the delivered file is corrupt and a working replacement cannot be provided within 5 business days, or (b) the product is materially different from its published description.

Refund requests must be submitted within 7 days of purchase to contact@definedtechltd.com with your order reference. We do not refund for change of mind, incompatible software, or failure to read the product description.

11. No Warranty

ALL PRODUCTS ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY OF CALCULATIONS, OR NON-INFRINGEMENT. You assume full responsibility for verifying outputs before acting on them.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DEFINED TECH LIMITED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF ANY PRODUCT. Our total liability shall not exceed the amount you paid for the product in question.

13. Termination

Your licence terminates automatically if you breach any provision of these Terms. Upon termination you must destroy all copies of the product in your possession.

14. Changes to These Terms

Defined Tech Limited may update these Terms periodically. The current version is always available at definedtechltd.net/legal. Material changes will be communicated to recent customers by email.

15. Governing Law

These Terms are governed by the laws of the Republic of Trinidad and Tobago. Any dispute shall be subject to the exclusive jurisdiction of the courts of Trinidad and Tobago.
